These Terms of Service (the “Terms”) are a binding agreement between you and Gridmatic (“Gridmatic,” “we,” “us,” or “our”) governing your access to and use of our software and operation services (together, the “Services”).
1. Agreement to these terms
By applying for, subscribing to, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
2. What Gridmatic provides
Gridmatic provides subscription-based automated grid-trading software and a done-for-you setup and operation service. We set up and operate trading bots on your own exchange account using the API access you grant. Your capital stays in your own exchange account at all times.
Gridmatic is a software company. We are not a bank, a broker-dealer, a custodian, an exchange, a money transmitter, or a registered investment adviser. We do not hold, custody, or take possession of your funds, and we do not manage a pooled fund. You retain ownership and control of your exchange account and your capital.
3. No investment, financial, legal, or tax advice
The Services and any information we provide are for the operation of the software only and do not constitute investment, financial, legal, accounting, or tax advice, or a recommendation to buy, sell, or hold any asset. We do not provide personalized investment advice or act as your fiduciary. Our operation of the bots is the technical execution of the software within parameters you accept, not discretionary management of your assets. You are responsible for your own decisions and for consulting your own qualified advisers about your circumstances.
4. Risk disclosure
Trading cryptocurrency involves substantial risk, including the risk of losing some or all of your capital. You should only deploy capital you can afford to put at risk. You acknowledge and accept that:
- Cryptocurrency prices are volatile and can move sharply against you.
- Past performance does not guarantee future results. Results vary by market conditions, timing, and capital deployed.
- We do not promise, guarantee, or warrant any specific return, profit, income, or outcome. Any figures or examples shown are illustrative, not a promise of performance.
- During downtrends, open positions can show unrealized losses. This is expected behavior of grid trading and is not, by itself, a failure of the Services.
- Risks outside our control, including exchange outages, network issues, regulatory changes, and force majeure events, can affect performance.
5. Eligibility
You must be at least 18 years old and able to enter a binding contract. You are responsible for ensuring that your use of the Services, of cryptocurrency, and of your exchange is lawful where you live. We may decline, suspend, or end access at our discretion, including where required by law or where a deployment would not be appropriate.
You represent that you are not located in, and are not a national or resident of, any country or region subject to comprehensive sanctions, and that you are not on any sanctions or restricted-party list, including the US Treasury Office of Foreign Assets Control (OFAC) Specially Designated Nationals list. You agree not to use the Services in violation of any applicable sanctions or export-control laws.
6. Your account and responsibilities
- You maintain your own exchange account and remain its sole owner and controller.
- You are responsible for generating API keys with trade permissions only, and for keeping your exchange credentials secure. Do not grant withdrawal permissions.
- You are responsible for the capital you deploy and for the accuracy of the information you give us.
- You are solely responsible for determining, reporting, and paying any taxes that apply to your trading activity and any income it generates. We do not provide tax advice.
- You may revoke our API access at any time, which immediately ends our ability to trade on your account.
- You are responsible for keeping your Gridmatic login credentials confidential and for activity under your account.
7. Subscriptions, fees, and billing
The Services are billed as a fixed recurring subscription based on the capital tier you select. There is no profit share; you keep all trading profit. Fees are charged through our third-party payment processor and, unless stated otherwise, renew automatically each billing period until you cancel.
- You authorize us and our payment processor to charge your payment method for each renewal until you cancel.
- If your deployed capital grows into a higher tier, your subscription may move to the corresponding tier.
- Fees are exclusive of any taxes you may owe. Except as required by law, subscription fees are non-refundable. The 120-day guarantee in section 8 does not apply to them.
- We may change pricing on a going-forward basis with notice; changes do not affect the period you have already paid for.
8. 120-day money-back guarantee
The 120-day money-back guarantee applies only to the separate Gridmatic licensing or setup agreement, and only where that agreement expressly provides for it. The terms of that agreement govern the guarantee, including what is refundable and how it is claimed.
Weekly software subscription fees are excluded from the guarantee and are non-refundable. The guarantee also does not cover trading performance, market losses, exchange fees, or changes in your personal circumstances. 9. Cancellation and termination
You can cancel at any time by contacting us. On cancellation we stop the bots and stop placing new trades. You remain the owner of your exchange account, and you are responsible for revoking our API access from your exchange. Any open positions remain in your account and can continue to fluctuate in value until you close or manage them, and we are not responsible for them once the bots are stopped. Cancellation stops future billing; it does not retroactively refund subscription fees already paid. We may suspend or terminate the Services if you breach these Terms, if required by law, or to protect the Services or other clients. Sections that by their nature should survive termination, including disclaimers, limitation of liability, and indemnification, will survive.
10. Acceptable use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any law or your exchange’s terms.
- Reverse engineer, copy, resell, or attempt to extract the source of the software except as the law allows.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems.
- Use the Services to launder money, evade sanctions, or fund illegal activity.
11. Intellectual property
The Services, including the software, the Gridmatic name and marks, and all related content, are owned by Gridmatic and its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for their intended purpose while your subscription is active. No other rights are granted.
12. Third-party services
The Services depend on third parties, including your exchange and our payment processor. We are not affiliated with, endorsed by, or sponsored by your exchange. Your use of those services is governed by their own terms, and we are not responsible for their acts, omissions, outages, fees, or decisions. This includes any change your exchange makes to its API, fee schedule, or available features, any outage, rate-limiting, or deprecation, any freeze or restriction it places on your account, and any slippage or failed order. You maintain your own account directly with your exchange.
13. Disclaimers
The Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that they will produce any particular financial result. To the maximum extent permitted by law, all such warranties are disclaimed.
14. Limitation of liability
To the maximum extent permitted by law, Gridmatic and its owners, employees, and contractors will not be liable for any trading or market losses, or for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or relating to the Services, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Services will not exceed the subscription fees you paid to us in the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
15. Indemnification
You agree to indemnify and hold harmless Gridmatic and its owners, employees, and contractors from any claims, damages, losses, and expenses, including reasonable legal fees, arising out of your use of the Services, your breach of these Terms, or your violation of any law or third-party right.
16. Governing law and dispute resolution
These Terms are governed by the laws of the State of Arizona, United States, without regard to its conflict-of-laws rules. You and Gridmatic agree that any dispute relating to the Services will be resolved exclusively in the state or federal courts located in Arizona, and you consent to their jurisdiction, except where applicable law gives you the right to bring a claim elsewhere. To the extent permitted by law, you and Gridmatic waive any right to a jury trial and to participate in a class action.
17. Changes to these terms
We may update these Terms as the Services and the law evolve. When we make material changes, we will update the date at the top and, where appropriate, notify you. Your continued use of the Services after an update means you accept the revised Terms.
18. General
- Entire agreement: these Terms and the Privacy Policy are the entire agreement between you and Gridmatic about the Services.
- Severability: if any provision is found unenforceable, the rest remains in effect.
- No waiver: our failure to enforce a provision is not a waiver of it.
- Assignment: you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control, including exchange outages, API suspensions, rate-limiting, or deprecations, cloud or hosting-provider failures, blockchain forks, congestion, or reorganizations, cyberattacks, and extraordinary market volatility.
